Choosing a business structure is also choosing how ownership, decision-making, records and ongoing compliance will work. Discuss these practical consequences before beginning the registration documents.

Useful for: Founders, company directors and LLP partners

Match the structure to your plans

Consider who will own and manage the business, how funds will be introduced, the expected activities and future changes. Compare the relevant legal and tax requirements before settling on a proprietorship, partnership, LLP or company.

Companies are governed by the Companies Act, 2013 and LLPs by the Limited Liability Partnership Act, 2008, together with applicable rules and amendments. The India Code records are useful starting points for the legislation.

Keep the proposed details consistent

Prepare the proposed name, business activities, registered office information and ownership details. Identity and address records should match the application. Review the proposed objects and capital or contribution arrangements before signing.

MCA introduced SPICe+ as an integrated company incorporation process. Use the current MCA portal and instructions for the actual filing; company and LLP applications have different forms and requirements.

Create an ongoing compliance record

For eligible businesses considering MSME registration, Udyam is the government's official free registration portal. MSME registration serves a different purpose from company or LLP incorporation.
